Agreement to our legal terms

We are SpringOS ("Company," "we," "us," or "our"). We operate the website https://springos.co (the "Site") and the SpringOS software platform, including dashboards, embeddable widgets, APIs, enterprise resale tools, mobile-friendly web app, and related products and services that refer or link to these Terms (collectively, the "Services").

These Terms and Conditions ("Terms") are a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and SpringOS, concerning your access to and use of the Services. By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy at springos.co/privacy. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.

We may update these Terms at any time by posting a revised version with a new “Last updated” date. Your continued use after changes become effective constitutes acceptance. Supplemental terms (for example, enterprise resale, store add-ons, or affiliate program pages) are incorporated by reference when applicable.

The Services are intended for users who are at least 18 years old. Persons under 18 may not use or register for the Services.

1. Our services

SpringOS is a business software platform for service companies. Features may include, depending on your plan: customer CRM, estimates, invoices, job scheduling, messaging, website widgets (quote, contact, scheduler, AI receptionist), credits-based email/SMS, API access, webhooks, route optimization, team roles, affiliate referrals, and enterprise white-label resale of access codes.

The Services are offered from the United States and are not intended for use where prohibited by local law. You are responsible for compliance with laws applicable to your business, including laws governing marketing, telemarketing, SMS (including TCPA), email (including CAN-SPAM), consumer privacy, and contractor licensing.

The Services are not designed to comply with HIPAA, FISMA, GLBA, or other industry-specific regulatory frameworks unless we expressly agree in writing. You may not use the Services in a manner that would violate such laws.

Business use and your end-customers

If you use SpringOS for your company, you may store personal information about your customers and leads in the CRM. You are the business responsible for that data. You represent that you have all rights and notices required to collect, use, and message those individuals, and you authorize us to process that data solely to provide the Services.

Enterprise and white-label

Enterprise accounts may provision access codes, manage subscribers, apply branding, configure custom domains, and allocate credits. Enterprise customers are responsible for their relationship with subscribers, pricing, support obligations, and compliance. Suspending a subscriber license does not transfer liability for prior use.

2. Intellectual property rights

Our intellectual property

We own or license all intellectual property in the Services, including software, databases, designs, text, graphics, logos, and trademarks (collectively, "Content"). Content is protected by applicable intellectual property laws.

Your license

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business operations during an active subscription or trial.

  • You may not copy, resell, sublicense, or reverse engineer the Services except as permitted by law.
  • You may embed our widgets on websites you control according to in-product instructions.
  • API access is permitted only with valid API keys, within documented endpoints, scopes, and rate limits.

Your submissions and feedback

If you send feedback or suggestions about the Services, you grant us a perpetual, royalty-free license to use them without compensation. You retain ownership of your business data and Contributions (defined below), subject to the licenses you grant us to host and operate the Services.

3. User representations

By using the Services, you represent and warrant that:

  • Registration information is true, accurate, current, and complete, and you will keep it updated
  • You are at least 18 and have authority to bind your business or organization
  • You will comply with these Terms and all applicable laws
  • You will not use the Services for illegal, fraudulent, or abusive purposes
  • You will not access the Services through unauthorized automated means (except our documented API)
  • If you message customers via SpringOS, you have obtained required consents and maintain opt-out mechanisms

We may suspend or terminate accounts with inaccurate information or violations of these Terms.

4. User registration

You may need an account to use most features. You are responsible for safeguarding your password and all activity under your account. Team members you invite act under your account; owners are responsible for their conduct and permissions.

We may refuse or reclaim usernames that are misleading, infringing, or offensive.

5. Purchases and payment

Payments are processed by Stripe. We accept payment methods made available by Stripe at checkout (which may include major credit and debit cards). You agree to provide accurate billing information and authorize us and Stripe to charge your payment method for applicable fees.

  • Prices are in U.S. dollars unless stated otherwise
  • Taxes may be added where required
  • We may correct pricing errors even after payment is requested
  • Credit packs, store add-ons, and enterprise license purchases are separate charges described at purchase

Except where required by law, all fees are non-refundable. Chargebacks or payment disputes may result in suspension of access.

6. Subscriptions, trials, and credits

Subscriptions

Paid plans renew automatically each billing period until canceled in Settings → Billing (owners) or as otherwise described. Cancellation takes effect at the end of the current paid term unless stated otherwise.

Free trial

Eligible new accounts may receive a 14-day free trial on selected paid tiers. Trial availability, plan features, and limits are described at signup and on the pricing page. We may require a payment method before or after trial depending on the offer shown at checkout.

Plan limits

Features, user seats, API keys, webhook endpoints, messaging allowances, and rate limits vary by plan. Usage beyond included limits may require credits, plan upgrades, or may be blocked.

Credits

Credits are prepaid units for billable sends (such as SMS or email overages). Credits have no cash value, are non-transferable except as enabled for enterprise allocation, and are non-refundable except where required by law.

Fee changes

We may change subscription or credit pricing with notice as required by applicable law. Continued use after the effective date constitutes acceptance of new pricing for renewal periods.

7. Prohibited activities

You may not use the Services except as intended for lawful business operations. Without limiting the foregoing, you agree not to:

  • Scrape, crawl, or harvest data from the Services except through documented API keys within rate limits
  • Circumvent authentication, security, rate limits, or access controls
  • Probe or test vulnerabilities without written authorization
  • Upload malware or interfere with Service operation
  • Impersonate others or misrepresent your affiliation
  • Use the Services to send spam, unlawful robocalls, or messages without required consent
  • Store or transmit illegal content or content that infringes third-party rights
  • Resell dashboard access except through authorized Enterprise licensing features
  • Use AI features to generate unlawful, deceptive, or harmful content
  • Reverse engineer or copy the Services to build a competing product
  • Harass our staff or abuse support channels

Violation may result in immediate suspension, termination, and legal action.

8. API, webhooks, and integrations

Pro, Agency, and Enterprise plans may offer API keys and webhooks as described in our documentation. API keys must be kept confidential. You are responsible for all activity under your keys.

  • Use only documented endpoints and respect read/write scopes assigned to each key
  • Comply with per-key rate limits; we may throttle or revoke keys for abuse
  • Webhook endpoints you provide must use HTTPS and verify signatures
  • Do not use the API to exfiltrate data you are not authorized to access

We may modify or deprecate API endpoints with reasonable notice when practicable.

9. User content and contributions

The Services allow you to upload, submit, or store content, including customer records, messages, estimates, invoices, job photos, widget configuration, and AI knowledge base text ("Contributions").

You retain ownership of your Contributions. You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, and display Contributions solely to operate, secure, and improve the Services and as otherwise described in our Privacy Policy.

You represent that you have all rights necessary for your Contributions and that they do not violate law or third-party rights. You are solely responsible for Contributions and messages sent through your account.

10. Widgets, messaging, and AI features

Embeddable widgets

If you embed SpringOS widgets on your website, you are responsible for your site’s privacy notices, consent flows, and compliance. Widget submissions create records in your CRM. You control which widgets are enabled.

Email and SMS

Transactional and automated messages sent through SpringOS must comply with applicable law. You are the sender of record to your customers even when messages are delivered through our infrastructure or Twilio/Resend.

AI products

AI receptionist, drafting, and similar features may produce inaccurate or incomplete output. You must review AI-generated content before relying on it. We disclaim liability for decisions made based on AI output. Your use of AI features is also subject to third-party provider terms (including OpenAI).

11. Services management

We may monitor the Services for compliance, investigate abuse, remove content, limit features, suspend accounts, report unlawful activity to authorities, and take other action to protect the platform, users, and third parties. We are not obligated to monitor all content.

12. Privacy policy

Please review our Privacy Policy at springos.co/privacy. It is incorporated into these Terms. The Services are hosted in the United States. If you access the Services from other regions, you consent to transfer and processing in the United States to the extent permitted by law.

13. Term and termination

These Terms remain in effect while you use the Services. We may suspend or terminate access at any time for violation of these Terms, non-payment, fraud, risk to the platform, or for any other reason permitted by law.

Account owners may delete a company account from Settings → Account as described in the product. Deletion removes login access and user credentials; certain business records, billing history, and CRM data may be retained as disclosed in the Privacy Policy and deletion flow (including retained customer leads where stated).

Upon termination, your license ends immediately. Provisions that by nature should survive (including payment obligations, disclaimers, limitations of liability, indemnification, and dispute resolution) will survive.

14. Modifications and interruptions

We may modify, suspend, or discontinue any part of the Services at any time. We do not guarantee uninterrupted availability. Maintenance, outages, third-party failures, and force majeure events may occur. We are not liable for downtime or data loss except as expressly stated in these Terms or required by law.

15. Governing law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except where federal law applies.

16. Dispute resolution

Informal resolution

Before filing a claim, you agree to contact us at support.springos@gmail.com and attempt to resolve the dispute informally for at least thirty (30) days.

Binding arbitration

If informal resolution fails, any dispute arising out of these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules where applicable, or Commercial Rules otherwise. Arbitration shall take place in California unless otherwise required. YOU WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION to the fullest extent permitted by law.

Exceptions

Either party may seek injunctive relief in court for intellectual property misuse or unauthorized access. Small claims court actions may proceed where eligible. The UN Convention on Contracts for the International Sale of Goods and UCITA do not apply.

Any claim must be filed within one (1) year after it arose, to the extent permitted by law.

17. Corrections

Information on the Services may contain errors. We may correct pricing, descriptions, or availability at any time without prior notice.

18. Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, SECURE, OR MEET YOUR REQUIREMENTS, OR THAT ESTIMATES, AI OUTPUT, ROUTING SUGGESTIONS, OR THIRD-PARTY INTEGRATIONS (INCLUDING STRIPE, TWILIO, OR OPENAI) WILL BE ACCURATE OR UNINTERRUPTED.

19. Limitations of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE AND OUR OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICES IS LIMITED TO THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100) OR (B) THE AMOUNTS YOU PAID US IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

20. Indemnification

You agree to defend, indemnify, and hold harmless SpringOS and its affiliates, officers, agents, and employees from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from: (1) your use of the Services; (2) your Contributions or messages to your customers; (3) your widgets, websites, or enterprise subscriber relationships; (4) your breach of these Terms or law; or (5) your violation of third-party rights. We may assume exclusive defense of any matter subject to indemnification at your expense.

21. User data

You are responsible for maintaining backups and the accuracy of data you enter. While we perform routine backups for platform operations, we are not liable for loss or corruption of your data except as required by law. You waive claims against us arising from data loss to the extent permitted by law.

22. Electronic communications

You consent to receive communications electronically, including email and in-app notices. Electronic communications satisfy legal writing requirements where permitted. You agree to electronic signatures and records for transactions conducted through the Services.

23. SMS text messaging

Program description

If you opt in or provide a mobile number for service-related or marketing messages, you consent to receive SMS from SpringOS or on behalf of your business through the platform. Messages may include account alerts, speed-to-lead notifications, follow-ups, review requests, and promotional content where permitted.

Opt-out

Reply STOP to opt out of marketing SMS where supported. Reply HELP for help. Message and data rates may apply. Carriers are not liable for delayed or undelivered messages.

Your obligations

If you send SMS to your customers through SpringOS, you are responsible for obtaining and documenting consent and honoring opt-outs.

24. California users and residents

If a complaint is not resolved satisfactorily, California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834 or by telephone at (800) 952-5210 or (916) 445-1254.

25. Miscellaneous

These Terms, the Privacy Policy, and supplemental policies posted on the Services constitute the entire agreement. Our failure to enforce a provision is not a waiver. We may assign our rights and obligations. If any provision is unenforceable, the remainder stays in effect. There is no partnership, joint venture, or employment relationship created. These Terms are not construed against the drafter.
